Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the TaskVocal platform, website, and related services (collectively, the "Service"), operated by Task Vocal Pvt Ltd ("TaskVocal," "we," "us," or "our"), having its registered office at Logix Technova, Sector 132, Noida, 201301 (U.P), India.

TaskVocal offers the Service to customers located in India and other jurisdictions where TaskVocal makes the Service available. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

TaskVocal provides an AI-powered voice agent platform that enables businesses to create AI assistants for outbound voice calls, WhatsApp messaging, web chat, and related campaign management functions. TaskVocal currently supports outbound calling capabilities only; inbound calling functionality is not currently offered and will be reflected in these Terms if and when introduced.

3. Eligibility and Account Registration

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

4. Customer Responsibilities

As a TaskVocal customer, you are solely responsible for:

• Obtaining all necessary consents from individuals you contact through the Service, in accordance with the laws applicable in the jurisdiction(s) where your call recipients and message recipients are located, including but not limited to telemarketing, telecommunications, and Do Not Call/Do Not Disturb regulations applicable in your target markets (for example, India's TCCCPR framework, the US Telephone Consumer Protection Act (TCPA), the EU's ePrivacy Directive, or equivalent local laws)
• Ensuring compliance with Meta's WhatsApp Business Policy and opt-in requirements for any WhatsApp messaging conducted through the Service
• The accuracy, legality, and appropriateness of scripts, prompts, contact lists, and content configured within your AI assistants and campaigns
• Compliance with all applicable data protection, telecommunications, consumer protection, and marketing laws in every jurisdiction where your campaigns operate or where your call/message recipients are located
• Maintaining accurate Do Not Call and opt-out suppression lists and honoring opt-out requests promptly, in accordance with the applicable requirements of each jurisdiction you operate in

TaskVocal acts as a service provider/processor facilitating your campaigns and does not independently verify the legality of your use case, contact lists, or consent basis, except as otherwise stated in our Acceptable Use Policy. You are responsible for determining and complying with the specific legal requirements of each country in which you conduct calling or messaging campaigns.

5. Fees, Billing, Wallet Credits, and Refunds

Use of the Service is subject to the fees described on our pricing page or in your customer agreement. TaskVocal operates on a prepaid credit/wallet model unless otherwise agreed. Credits are deducted based on usage (call minutes, WhatsApp messages, chat interactions, and other billable actions as described in your plan). Pricing may vary by currency or region as indicated at checkout or in your agreement.

Payments are processed through our third-party payment partners (Stripe, Razorpay). By making a payment, you agree to the applicable payment processor's terms.

Refund and Cancellation Policy:

• Wallet credits purchased are generally non-refundable once added to your account, except where required by applicable law.
• If the Service is unavailable or fails due to an error attributable to TaskVocal, affected credits will be reinstated to your account within 7 business days of the confirmed incident.
• You may cancel your subscription or account at any time; unused credits at the time of cancellation are non-refundable unless otherwise required by applicable consumer protection law in your jurisdiction.
• Refund requests, where applicable, must be submitted to [email protected] within 15 days of the relevant transaction.

6. Intellectual Property

6.1 TaskVocal IP

The Service, including its underlying software, platform, design, and technology, is owned by TaskVocal and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Customer Content

You retain ownership of all content you upload or configure through the Service, including AI assistant prompts, scripts, knowledge base content, contact lists, and campaign data ("Customer Content"). You grant TaskVocal a limited license to process, store, and use Customer Content solely to provide and improve the Service, including for AI model training as described in our Privacy Policy, unless you have configured settings to restrict such use.

7. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information, and not to disclose such information to third parties except as necessary to perform its obligations under these Terms or as required by law.

8. Termination and Suspension

We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, our Acceptable Use Policy, or applicable law, or if we reasonably believe your use of the Service poses a risk to TaskVocal, our other customers, or third parties.

You may terminate your account at any time by contacting [email protected]. Upon termination, your right to use the Service ceases, and data will be handled in accordance with our Privacy Policy and Data Processing Agreement.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TASKVOCAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR SPECIFIC USE CASE OR JURISDICTION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKVOCAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TASKVOCAL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TASKVOCAL IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this section limits liability that cannot be excluded or limited under applicable law in your jurisdiction (for example, certain consumer protection laws in the EU, UK, or elsewhere).

11. Indemnification

You agree to indemnify and hold TaskVocal harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of applicable law in any jurisdiction where you operate (including telecom and consent regulations), or your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be referred to and finally resolved by arbitration seated in Delhi, India, conducted in English, under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. The arbitration award shall be final and binding on both parties.

Subject to the above, the courts at Noida, Uttar Pradesh, India shall have exclusive jurisdiction over any matters not subject to arbitration or for interim relief.

13. Regional Addenda

Where required by local law, TaskVocal may provide jurisdiction-specific addenda or additional terms applicable to customers in a particular country or region. Such addenda, if any, will be made available at the time of applicability and will form part of these Terms for the relevant customers.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
